Terms of service

The agreement

These terms are between Xee Holdings (Pty) Ltd, registration 2021/435618/07, of 160 Belmont Road, Effingham Heights, Durban North, 4051 (“we”), and the business that opens an Indably account (“you”). By creating an account you agree to them on behalf of that business.

The service

Indably lets you plan, approve, publish and report on social media posts and ads for the brands you run, on the networks you connect. Each network decides whether and how apps may post to it. Where a network hasn't approved Indably, or limits what apps may do, Indably prepares the post and reminds you to publish it yourself. We'll keep the networks pages current, but a network can change its rules without notice to us.

Your accounts and content

You must have the right to post to every account you connect and to use everything you upload. You're responsible for what your team publishes and for following each network's rules, including advertising and disclosure rules. We don't claim ownership of your content; you give us permission to store it, process it and send it to the networks you choose, only to provide the service.

People on your account

You decide who joins each brand and what role they have. Owners and Managers can approve and publish. Keep sign-in details private and tell us at once at hello@indably.com if you think an account has been misused.

Fees and payment

Indably is charged per brand per month, in advance, at the prices on our pricing page on the date of each invoice. Prices exclude VAT, which is added to each tax invoice. New accounts get a 14-day trial. We charge the card you save with PayFast. If a payment fails we try again, twice more, three days apart; after that, scheduled publishing pauses until the card is updated. Ad spend is billed to you directly by each ad network and isn't part of our fees. We'll give you 30 days' notice of any price increase.

Ending the agreement

You can close your account at any time; you'll be billed to the end of the month you're in. We may suspend or close an account that breaks these terms, a network's rules or the law, and will tell you why. After closing, we delete your content as set out in the privacy notice.

Availability and liability

We work hard to publish every approved post at its time, exactly once, and to tell you when we can't. But networks go down, change their rules and reject posts, and we can't promise the service will be uninterrupted or error-free. To the extent the law allows, our total liability to you in any 12 months is limited to the fees you paid us in that period, and we're not liable for indirect or consequential loss, including lost profit or reputation. Nothing in these terms limits rights you have under the Consumer Protection Act where it applies.

Privacy

Our privacy notice explains how we handle personal information. Where you put other people's personal information into Indably, you're the responsible party for it and we process it on your instructions.

Changes and law

We'll email account owners at least 30 days before material changes to these terms. These terms are governed by the law of South Africa, and the courts of KwaZulu-Natal have jurisdiction.
